ARKAD SOLUTIONS

1. Purpose

These Terms and Conditions of Sale (« TCS ») define the rights and obligations of Arkad Solutions and its clients regarding the provision of digital services — including automation, no-code development, consulting, and monthly subscription plans. Any order implies full and unconditional acceptance of these TCS by the client.

3. Services Offered

Arkad Solutions provides remote digital services, including: the design and automation of business processes (AI & No-Code), the development and integration of custom no-code tools, strategic support in automation, AI and digital transformation, and monthly subscription plans (Starter, Pro, Premium). Services are delivered in accordance with the descriptions published on https://arkad-solutions.com or as specified in the quote approved by the client.

4. Orders and Validation

Orders may be placed via the website, by email confirmation of a quote, or through electronic signature. Order confirmation constitutes acceptance of these TCS and initiates the service process. Arkad Solutions reserves the right to refuse any order in case of previous disputes or non-payment.

5. Pricing

Prices are stated in euros (€) and may be shown either excluding or including VAT, depending on applicable tax regulations. Arkad Solutions reserves the right to update its prices at any time; however, services are billed based on the rates applicable at the time of order confirmation. Any out-of-scope requests will be subject to a new quote.

6. Payment Terms

Payment is made by credit card, bank transfer, or via a secure platform (e.g., Stripe, PayPal, Framer Pay). For one-time services: full payment is due upon order, unless otherwise specified in the quote. For subscriptions: automatic monthly billing from the subscription date, without commitment (see Article 8). Late payment will automatically incur statutory penalties and a €40 fixed recovery fee (Art. L441-10 of the French Commercial Code).

7. Delivery and Execution

Services are performed remotely, according to an indicative schedule. Delays do not justify cancellation or compensation, unless agreed otherwise in writing. Any modifications during the project must be validated and may result in adjusted timelines and/or pricing.

8. Subscriptions and Termination

Subscription plans (Starter, Pro, Premium) automatically renew monthly. The client may cancel at any time via their account or by email to contact@arkad-solutions.fr. Cancellation takes effect at the end of the current billing cycle. No refund is issued for a started month. Arkad Solutions may suspend or terminate a subscription in case of non-payment, misuse, or violation of these TCS.

9. Client Obligations

The client must provide all necessary information for the proper delivery of services and guarantees that all materials supplied do not infringe upon third-party rights. The client is solely responsible for the use of the delivered tools, automations, and systems.

10. Intellectual Property

Unless stated otherwise in the quote, Arkad Solutions retains full intellectual property rights over all deliverables, scripts, automations, and templates. The client receives a non-exclusive, non-transferable license for internal business use. Reproduction, distribution, or resale without written permission is strictly prohibited.

11. Confidentiality

All exchanged information is treated as confidential. Arkad Solutions will not disclose any client data to third parties without prior consent, unless required by law or by competent authorities.

12. Liability

Arkad Solutions performs its services with due care and professionalism. It shall not be liable for misuse of the deliverables, third-party service failure (e.g., API, no-code platform, hosting), or force majeure. Liability is strictly limited to the amount paid by the client for the concerned service.

13. Right of Withdrawal

As per Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to fully executed services or digital content delivered with the client’s prior agreement and express waiver of this right. For subscriptions, the client may cancel at any time for the following month.

14. Personal Data Protection

Personal data is processed in accordance with Arkad Solutions’ Privacy Policy. The company complies with GDPR and does not share personal data without legal basis or consent.

15. Force Majeure

Arkad Solutions shall not be held liable in cases of force majeure, as defined under French law — including but not limited to: natural disasters, widespread outages, labor disputes, cyberattacks, or network unavailability.

16. Governing Law and Jurisdiction

These TCS are governed by French law. In case of dispute and failing amicable resolution, the competent jurisdiction is that of Arkad Solutions’ registered office. This does not override any mandatory consumer protection laws applicable in the client’s country of residence.
